Clear terms for an accountable recovery system.
These terms explain installation, provider dependencies, the $1 connection payment, and the proof-gated $299 monthly subscription.

The service
Spillway Calls is an inspection-recovery service for eligible roofing calls that ended without a booked inspection. It connects to contractor-authorized systems, processes completed-call content, and may continue an eligible homeowner conversation within the contractor's approved policies.
The contractor must have authority to connect each account, provide accurate setup information, and use the service for lawful business purposes. Spillway does not replace the contractor's phone routing, CRM, official schedule, contracts, or legal obligations.
Installation offer and billing
The initial offer charges $1 to begin connection and installation and to establish a reusable payment method through Stripe-hosted Checkout. Completing installation, connecting a provider, processing a call, sending a message, booking an inspection, or observing an estimate does not by itself start monthly billing.
The $299 monthly subscription may begin only after Spillway's existing proof foundation establishes the qualifying signed-roofing-job condition defined by the accepted offer. Stripe executes billing after that authorization; Stripe, an AI output, or an unverified provider event cannot establish proof.
Failed or disputed payments may place billing in an action-required, past-due, paused, or canceled state under the applicable billing policy. Spillway uses Stripe-hosted payment collection and does not store raw card numbers or security codes.
Connections and external review
Installation may depend on third-party services including Stripe, Twilio, Zapier, ServiceTitan, and contractor-authorized communications providers such as CallRail, RingCentral, Dialpad, or Quo. Provider enablement, U.S. carrier registration, permissions, inventory, plans, review timing, outages, and approval decisions remain external dependencies.
External waiting is an installation-in-progress state, not a promise of approval or a guaranteed completion date. Automated homeowner messaging and consequential provider writes remain disabled until their separate readiness and authorization requirements are met.
Communications and permitted use
The contractor authorizes the confirmed messaging-installation disclosures accepted during setup. That infrastructure authorization does not create homeowner consent. Spillway continues to enforce its contactability, suppression, quiet-hours, STOP, START, HELP, terminal-state, and duplicate-message policies.
The service may not be used for unlawful, deceptive, harassing, discriminatory, abusive, or unauthorized communications; false caller identity; credential sharing; security interference; or attempts to bypass provider, carrier, tenant, proof, billing, or messaging controls.
Suspension, cancellation, and offboarding
A contractor may pause applicable automation, revoke provider connections, manage billing through the available hosted flow, or request cancellation. Cancellation begins a bounded offboarding process; it does not automatically erase historical proof, operational, or financial records, or immediately release a dedicated number.
Spillway may suspend access to protect homeowners, tenants, providers, or the service when authority is revoked, payments fail, registration is rejected, security is threatened, or prohibited use is detected.
Service limits and legal terms
The service is provided subject to third-party availability and the limitations described in the accepted offer. No provider approval, carrier review time, recovered job, inspection, sale, revenue outcome, or uninterrupted operation is guaranteed.
To the extent permitted by applicable law, warranty disclaimers, limits of liability, governing law, and dispute procedures will apply as stated in the attorney-reviewed production version. This draft requires legal review before production acceptance is enabled.
